NexxBook Terms of Service

Welcome to NexxBook.

These Terms of Service (“Terms”) govern your access to and use of the NexxBook website, platform, applications, and related services (collectively, the “Services”).

By creating an account, accessing, or using NexxBook, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Services.

1. About NexxBook

NexxBook is an AI-powered software service designed to help businesses, accountants, bookkeepers, and accounting firms automate the processing and recording of receipt information.

The Services may include:

• Receipt image and file uploading
• AI-powered receipt information extraction
• Receipt data recording
• Receipt organization
• Duplicate detection
• Confidence review and editing
• SLP-formatted spreadsheet exports
• CSV exports
• XLSX exports
• Historical and bulk exports
• Receipt storage and backup
• Other features introduced from time to time

NexxBook is a software tool and does not provide accounting, tax, legal, or financial advice.

2. Eligibility

You must be legally capable of entering into a binding agreement to use NexxBook. If you use NexxBook on behalf of a business, company, accounting firm, or other organization, you represent that you have the authority to bind that organization to these Terms.

3. Your Account

You may be required to create an account to access certain features. You agree to:

• Provide accurate and current information
• Maintain the security of your login credentials
• Keep your account information updated
• Not share your account credentials in a manner that violates your subscription or these Terms
• Notify us promptly of unauthorized access

You are responsible for activity conducted through your account.

4. Receipt Data and User Content

You retain ownership of the receipts, files, data, and other content you upload to NexxBook (“User Content”).

You are responsible for:

• The accuracy and legality of your User Content
• Ensuring you have the right to upload and process the information
• Reviewing AI-extracted information
• Maintaining appropriate backups of important business records
• Ensuring that exported data is accurate before using it for accounting, tax, or regulatory purposes
• Downloading and securely storing your exported files

NexxBook does not claim ownership of your User Content. You grant NexxBook a limited, non-exclusive right to process your User Content as necessary to provide, maintain, secure, and improve the Services.

5. AI-Generated and Extracted Information

NexxBook uses AI and automated technologies to extract information from receipts. AI extraction is not guaranteed to be 100% accurate. Receipt quality, image resolution, lighting, handwriting, formatting, language, and other factors may affect extraction accuracy.

NexxBook may identify certain receipt records as requiring review or verification when the system detects lower confidence in extracted information. You are responsible for reviewing and verifying extracted information before relying on it for accounting, tax, BIR filing, or other official purposes.

NexxBook does not guarantee that every receipt will be correctly interpreted or that every extracted field will be accurate.

6. SLP-Formatted Exports for Internal Records or BIR Filing

NexxBook may provide SLP-formatted spreadsheet exports designed to assist users in preparing information for their Internal Records and BIR-related filing processes. NexxBook may provide exports in supported formats, including CSV and XLSX.

However:

NexxBook does not guarantee that any exported file will satisfy all current or future BIR requirements. NexxBook does not submit/file any documents on your behalf to BIR. BIR rules, regulations, forms, filing requirements, and procedures may change.

Users are responsible for:

• Reviewing exported information
• Verifying the accuracy of receipt data
• Ensuring that exported information is complete
• Ensuring that their filings comply with applicable Philippine laws, regulations, and BIR requirements
• Consulting a qualified accountant, tax professional, or other appropriate professional when necessary

NexxBook is not a substitute for professional accounting or tax advice.

7. Subscription Plans

NexxBook may offer different subscription plans, including:

Free

• ₱0/month
• 20 receipts included (one-time total, does not reset monthly)

Starter

• ₱299/month
• 600 receipts included per month
• ₱0.50 per additional receipt

Pro

• ₱499/month
• 2,000 receipts included per month
• ₱0.40 per additional receipt

Business

• ₱999/month
• 5,000 receipts included per month
• ₱0.30 per additional receipt

Plan features, receipt limits, storage periods, and other benefits may vary by plan. NexxBook reserves the right to introduce additional plans, modify existing plans, or discontinue plans, subject to applicable law and reasonable notice where required.

8. Billing and Payments

Paid subscriptions are billed according to the billing cycle selected at the time of purchase. By subscribing to a paid plan, you authorize NexxBook or its designated payment provider to charge the applicable subscription fees.

You are responsible for providing accurate billing and payment information. If a payment fails, NexxBook may suspend or restrict access to paid features until payment is successfully completed. Prices may be changed from time to time. Any changes to subscription pricing will be communicated in accordance with applicable law and our billing practices.

9. Additional Receipt Charges

If your subscription plan allows additional receipt processing beyond the included monthly allowance, applicable additional receipt charges may be billed according to the rate associated with your plan. You are responsible for charges resulting from receipt processing performed through your account.

10. Cancellation and Termination

You may cancel your paid subscription according to the cancellation options available within NexxBook or by contacting support. Unless otherwise stated, cancellation will take effect at the end of the current paid billing period.

We may suspend or terminate accounts that:

• Violate these Terms
• Engage in fraudulent or abusive activity
• Attempt to compromise the Services
• Use the Services for unlawful purposes
• Fail to pay applicable fees
• Create unreasonable security or operational risks

Where appropriate, we may provide notice and an opportunity to resolve the issue before termination.

11. Data After Cancellation

After cancellation or termination, your access to certain features may be restricted. We may retain or delete your data in accordance with our Privacy Policy, applicable subscription terms, legal requirements, and our data retention policies.

You are responsible for exporting and downloading any data you need before terminating your account. NexxBook is not responsible for data that is lost or deleted after the applicable retention period or following account termination.

12. Prohibited Use

You agree not to:

• Use NexxBook for unlawful purposes
• Upload content you do not have the right to process
• Attempt to gain unauthorized access to NexxBook or another user’s account
• Interfere with the security or operation of the Services
• Reverse engineer, decompile, or attempt to extract source code from the Services, except where permitted by law
• Copy, reproduce, resell, or commercially exploit the Services without authorization
• Use automated systems to abuse or overload the Services
• Upload malicious software or harmful code
• Circumvent subscription limits or security controls
• Use NexxBook to process data in violation of applicable privacy laws

13. Third-Party Services

NexxBook may use third-party technology and service providers to operate and provide certain aspects of the Services. These providers may include services supporting:

• Cloud hosting
• Data storage
• AI processing
• Receipt extraction
• Payment processing
• Email communications
• Analytics
• Security and monitoring

Your use of certain third-party services may be subject to their own terms and policies. NexxBook is not responsible for the availability, functionality, or policies of third-party services.

14. Intellectual Property

The NexxBook Services, including its software, platform, design, branding, logos, interfaces, features, and underlying technology, are owned by or licensed to NexxBook and are protected by applicable intellectual property laws. These Terms do not grant you ownership of NexxBook’s intellectual property. You may not use NexxBook trademarks, branding, or intellectual property without prior written permission.

15. Feedback

If you provide feedback, suggestions, or ideas regarding NexxBook, you grant us permission to use that feedback without restriction or compensation, provided that such use does not disclose your confidential information or User Content.

16. Disclaimer

To the maximum extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis. NexxBook does not guarantee that:

• The Services will always be available
• The Services will be uninterrupted or error-free
• AI extraction will always be accurate
• Receipt information will always be correctly extracted
• Exported files will be free from errors
• The Services will meet every user’s specific requirements
• Exported data will satisfy every current or future BIR requirement

You are responsible for reviewing your data and ensuring that your accounting and tax records are accurate.

17. Limitation of Liability

To the maximum extent permitted by applicable law, NexxBook and its owners, officers, employees, affiliates, and service providers shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Services.

This includes, without limitation, losses resulting from:

• Incorrect AI-extracted data
• Accounting or tax errors
• BIR filing issues
• Missed deadlines
• Loss of business
• Loss of profits
• Loss or corruption of data
• Service interruptions

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

18. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless NexxBook and its owners, officers, employees, and affiliates from claims, liabilities, damages, losses, and expenses arising from:

• Your violation of these Terms
• Your misuse of the Services
• Your User Content
• Your violation of applicable laws or third-party rights

19. Changes to the Services

NexxBook may modify, improve, suspend, or discontinue features of the Services from time to time. We may introduce new features, remove features, or modify functionality to improve the Services or comply with legal, security, or operational requirements.

20. Changes to These Terms

We may update these Terms from time to time. When material changes are made, we may notify users through the Services, email, or other appropriate means. Your continued use of NexxBook after the effective date of updated Terms constitutes acceptance of the revised Terms, to the extent permitted by law.

21. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Republic of the Philippines, without regard to conflict-of-law principles. Any disputes arising from or relating to these Terms or the Services shall be subject to the applicable courts and laws of the Philippines.
